Steven graduated in 2008 with a Bachelor of Law (LLB) Degree with Honours from Cardiff University, United Kingdom and was called to the Bar of England and Wales in 2009. He is a qualified Barrister at Law of Lincoln’s Inn, England.
Legal Career
Upon his return to Malaysia, he chambered and commenced his legal practice in Messrs. Zul Rafique & Partners in 2009. In 2011, he continued his legal practice at Messrs. Adnan Sundra & Low. He is the founding partner of the Firm.

Advising and conducting the legal due diligence and drafting the shareholders circular in connection with the de-listing of Leader Universal Holdings Berhad from the main market of Bursa Malaysia Securities Berhad.
Advising and conducting the legal due diligence and drafting the shareholders circular in connection with the shareholders’ mandate for the recurrent related party transactions of a revenue or trading nature of Cycle & Carriage Bintang Berhad.
Advising and conducting the legal due diligence and assisting in the drafting the prospectus in connection with the listing of UOA Development Berhad on the main market of Bursa Malaysia Securities Berhad.
Advising and conducting the legal due diligence in connection with the de-listing of Mamee Double Decker (M) Berhad from the main market of Bursa Malaysia Securities Berhad.
Advising and drafting the shareholders circular in connection with the establishment of a shareholders dividend reinvestment scheme by UOA Development Berhad.
Advising and conducting the legal due diligence in connection with Sime Darby Engineering Sdn Bhd’s disposal of its Teluk Ramunia and Pasir Gudang fabrication yards.
Advising and leading the legal due diligence in connection with the proposed acquisition of a local company listed on the main board of Bursa Malaysia.
Advising and assisting in the drafting of various shareholders circulars in relation to companies listed in the main market of Bursa Malaysia Securities Berhad.
Advising and assisting in the drafting of shareholders agreements, partnership agreements, joint venture agreements and share sale agreements in relation to various Malaysian companies.
Advising and drafting of the sale and purchase agreements in relation to the acquisition of various commercial lands in Malaysia by an established foreign hypermarket operator.
Advising and drafting of the sale and purchase agreements in relation to the acquisition of various commercial lands in Malaysia by a public listed developer.
Assisting in the drafting of lease agreements and tenancy agreements of commercial lots in various hypermarkets in Malaysia including providing legal advice, drawing up the relevant documents and negotiating the terms of the agreement;
Negotiating and assisting in the drafting of a hotel management agreement and other ancillary documents made between a Malaysian company and Onyx Hospitality Group.
Attending to sale and purchase agreements of residential and commercial properties (with or without title) by individuals or companies including providing legal advice, drawing up the relevant documents; negotiating the terms of the agreements on behalf of client and all other works in relation thereto;

He graduated in 2008 with a Bachelor of Law (LLB) Degree with Honours from the University of West of England, Bristol, United Kingdom and was called to the Malaysian Bar in 2010.
Legal Career
Upon his return to Malaysia, he chambered and commenced his legal practice with Messrs. Zul Rafique & Partners in 2009. Upon his departure thereafter, he continued his practice as a partner at Messrs. K. M. Yee, Hasnah & Associates. Subsequently, he joined Messrs. How, Ong & Associates as a partner as well. He is the founding partner of the Firm.

He assisted on the advise and conduct of the legal due diligence in connection with the restructuring of the Berjaya Group Berhad’s holding structure of Berjaya Roasters (M) Sdn. Bhd. (Kenny Roger’s Roasters) which resulted in the listing of Berjaya Food Berhad.
He assisted on the advise and conduct of the legal due diligence in connection with the financing facility from China Construction Bank to Lion Blast Furnace Sdn. Bhd.
He assisted on the advise and conduct of the legal due diligence in connection with mergers and acquisitions by foreign interest in domestic companies of various industries, amongst others, Food & Beverage, Mining, etc.
He had experience in advising and the conduct of the legal due diligence in connection with the drafting of shareholders agreements, partnership agreements, joint venture agreements and share sale agreements in relation to domestic companies of various sizes including SMEs.

Dispute Resolution
He is also a trained litigator and have vast experience in the areas of commercial, matrimonial, construction and civil dispute resolution. Over the course of his practice, he have conducted trials and hearings at all levels of the Malaysian Court hierarchy where he handled general contractual disputes, corporate disputes, particularly in the areas of minority shareholder disputes and scheme of arrangement, liquidation and insolvency litigation, probate, tort as well as banking litigation.
Personal Advisor
He believes in corporate responsibility and constantly seek ways to contribute back to the society. He is actively involved in social and charitable work with United Youth Movement of Malaysia and was the personal advisor to Mr. Pah Chin Hun through out his tenure as the Chairman of the State of Selangor Darul Ehsan.

Stephaine graduated from University of Reading, United Kingdom in 2008 with a Bachelor of Law (LLB) Degree with Honours. She was called to the Bar of England and Wales in 2009 and is a qualified Barrister at Law of Lincoln’s Inn, England.
Legal Career
Stephaine has experience in various aspects of corporate and commercial work including banking & finance and real estate.
Stephaine started off her legal career handling a portfolio of general commercial, banking & finance and real estate work. Her expertise covers mainly the banking and finance laws and regulations of Malaysia. She also advises on foreign exchange administration issues and has a good degree of experience in financing and domestic and cross border securitization deals.
Stephaine also deals with a wide spectrum of real estate transactions, which includes private and public corporations, receivers and managers and liquidators. She also advises on various types of real estate which includes but not limited to commercial projects and multi storey buildings and in the structuring of joint venture companies to undertake development activities.
Apart from that, Stephaine actively deals with regulatory and compliance work for foreign clients who have businesses in Malaysia or prospects seeking to invest in Malaysia, where she usually advises on the establishment of their presence in Malaysia (including local licensing requirements).
Stephaine also handles a good variety of corporate transactions including private and public mergers and acquisitions and joint ventures involving companies from various industries and corporate and debt restructuring.
